Waiver Agreement – Peptidic FZ-LLC

Welcome to Peptidic FZ-LLC.

This Waiver Agreement sets forth the terms and conditions governing the research and analytical use of our products and services within the United Arab Emirates. By purchasing and utilizing our research products, you agree to adhere to the terms and conditions outlined herein. Please review this agreement carefully before proceeding with your purchase.

1. Acknowledgment of Research Risks and Disclaimer

You acknowledge and agree that experimental research chemicals and peptides involve inherent risks and uncertainties. These products are strictly intended for in vitro laboratory research purposes only and are not for human or animal consumption. These products have not been evaluated, registered, or approved by the UAE Ministry of Health and Prevention (MOHAP), the Emirates Drug Establishment (EDE), or any other regulatory authority for safety, efficacy, or therapeutic use. By purchasing and using these products, you assume all risks associated with their experimental research application.

2. Product Intended Use and Legal Notice

Our research chemicals and peptides are exclusively intended for qualified laboratory research purposes conducted by trained professionals in controlled environments. They are not designed, tested, or approved for:

  • Human or animal consumption
  • Diagnostic, therapeutic, or clinical use
  • Use in food, cosmetics, or medical devices
  • Any application outside of legitimate scientific research

By purchasing our products, you confirm that you are a qualified researcher or represent a licensed research institution, and you agree to comply with all applicable UAE federal laws, MOHAP regulations, EDE guidelines, and relevant international standards governing the handling, storage, and disposal of research materials.

3. Buyer Representations and Warranties

By placing an order with Peptidic FZ-LLC, you represent and warrant that:

  • You are at least 21 years of age
  • You possess the necessary qualifications, training, and facilities to handle research chemicals safely
  • You will use the products solely for lawful research purposes
  • You will not resell, redistribute, or transfer products to unauthorized parties
  • You will maintain proper documentation of product usage in accordance with good laboratory practices

4. Indemnification Clause

You agree to indemnify, defend, and hold harmless Peptidic FZ-LLC, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and partners from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use or misuse of Peptidic FZ-LLC products
  • Your breach of this Agreement or any applicable law
  • Any third-party claims resulting from your research activities
  • Any unauthorized or improper use of products purchased from Peptidic FZ-LLC

5. Consent to Waiver and Release of Liability

By purchasing any research products offered by Peptidic FZ-LLC, you voluntarily waive, release, and forever discharge Peptidic FZ-LLC, its affiliates, officers, agents, employees, and representatives from any and all claims, liabilities, demands, or damages of any kind, whether known or unknown, arising from or related to the research, handling, storage, or experimental use of said products. This waiver includes, but is not limited to, claims for personal injury, property damage, economic loss, or consequential damages.

6. Limitation of Liability

To the maximum extent permitted by UAE law, Peptidic FZ-LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our products, regardless of the cause of action or the theory of liability, even if Peptidic FZ-LLC has been advised of the possibility of such damages.

7. Severability

If any provision of this Waiver Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction in the UAE, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

8. Governing Law and Jurisdiction

This Waiver Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws of the Ras Al Khaimah Economic Zone (RAKEZ). Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Ras Al Khaimah, UAE. The parties agree to attempt to resolve any disputes through good faith negotiation before initiating legal proceedings.

9. Amendments and Modifications

Peptidic FZ-LLC reserves the right to update, modify, or amend this Waiver Agreement at any time without prior notice. Any changes will become effective immediately upon posting on our website. The "Effective Date" at the top of this document will be updated accordingly. Your continued purchase or use of our products following any modifications constitutes your acceptance of the revised terms.

10. Entire Agreement

This Waiver Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Peptidic FZ-LLC regarding the subject matter herein and supersedes all prior agreements, understandings, and communications, whether written or oral.
